Kahoot!’s acquisition of Clever: Update regarding expected time of completion

Reference is made to the stock exchange announcement on May 6, 2021, announcing that Kahoot! ASA (“Kahoot!”) will acquire Clever, Inc (the “Transaction”).

After having filed a declaration with the Committee on Foreign Investment in the United States (CFIUS) in May, Kahoot! and Clever Inc. are now preparing a notice regarding the Transaction which is expected to be file with CFIUS in July 2021. Clearance of the Transaction under the U.S. Hart-Scott-Rodino Antitrust Improvements Act has been given.

Completion of the Transaction is pending satisfaction of a closing condition relating to the obtaining of certain regulatory approvals, and Kahoot! is now expecting the Transaction to complete in the second half of Q3 2021.

The Parties are looking forward to the completion of the Transaction and remain excited about the value of the partnership to the parties’ stakeholders.

Kahoot! will provide further updates as appropriate.
