Reference is made to the offer document dated 27 July 2023 (the “Offer Document”) for the recommended voluntary offer (the “Offer”) by Kangaroo BidCo AS (the “Offeror”) to acquire all outstanding shares (the “Shares”) in Kahoot! ASA (“Kahoot!” or the “Company”) for a cash consideration of NOK 35.00 per Share (the “Offer Price”). Reference is further made to the announcement dated 25 August 2023 regarding the extension of the offer period under the Offer (the “Offer Period”) to 8 September 2023 at 16:30 (CEST), and to the announcement dated 4 September 2023 regarding the receipt of regulatory approvals from relevant authorities in Austria and Germany, respectively. The Offer Price represents the Offeror’s best and final offer to the shareholders of Kahoot!.
The Offer Period will expire tomorrow, 8 September 2023 at 16:30 (CEST).
Shareholders who want to accept the Offer must fill out and return the acceptance form which is included in the Offer Document, prior to the expiry of the Offer Period, at 16:30 (CEST) on 8 September 2023 (subject to extension), and in accordance with procedures set out in the Offer Document.
The Offer is subject to certain closing conditions, as further set out under section 1.6 (Closing Conditions) of the Offer Document, including (but not limited to) the receipt of regulatory approvals and the Offer being validly accepted by shareholders representing, when taken together with any Shares acquired or agreed to be acquired by the Offeror other than through the Offer, or which the Offeror is otherwise entitled, more than 90 per cent of the issued and outstanding share capital and voting rights of the Company and such acceptances not being subject to any third party consents in respect to pledges or other rights.
The Offeror currently expects to obtain all required approvals for satisfaction of the regulatory approvals closing condition of the Offer by mid-October 2023.
